1. Acceptance of Terms

By accessing vyrabyte.com or engaging Vyrabyte for consulting or build services, you agree to these terms. If you do not agree, do not use the site or services. Vyrabyte is operated by Barrett Henry, Tampa Bay, Florida. Contact: [email protected].

2. Services

Vyrabyte provides AI automation consulting, system design, software development, and related services to business clients. Specific deliverables, timelines, and payment terms for each engagement are defined in a written proposal or statement of work signed by both parties.

Services described on this website are illustrative. Actual scope, pricing, and timelines may vary based on your specific requirements and are confirmed in writing before any work begins.

3. Payment Terms

  • Setup fees: 50% due at project kickoff, 50% due at delivery unless otherwise specified in writing.
  • Monthly retainers: Billed on the first of each month. Cancellable with 30 days written notice.
  • AI Audit: Paid in full prior to work beginning.
  • Late payments: Invoices unpaid after 15 days of the due date may incur a 1.5% monthly late fee. Work may be paused on accounts more than 30 days past due.

4. Refunds and Cancellations

The AI Audit fee is non-refundable once the intake review has begun. For build projects, any amounts paid for completed milestones are non-refundable. If you cancel a project before completion, you are responsible for the work completed to date, billed at the pro-rated project rate.

Monthly retainers cancelled with proper notice will not be charged for the following month. Cancellations made mid-month are not prorated.

5. Intellectual Property

Upon receipt of full payment, you own the custom code and systems built specifically for your engagement. Vyrabyte retains ownership of any underlying frameworks, templates, libraries, or methodologies that are not custom-built for your project.

You grant Vyrabyte permission to reference your business as a client for marketing purposes, unless you request otherwise in writing.

6. Confidentiality

Vyrabyte treats all client business information as confidential. We do not share, sell, or disclose client operational details, revenue figures, or systems design to third parties. Clients are expected to treat Vyrabyte's methodologies and proprietary processes with similar discretion.

7. Results and Warranties

Vyrabyte builds systems designed to improve business performance based on available information and established practices. We do not guarantee specific revenue outcomes, lead volumes, or conversion rates. Typical results ranges cited on this website are based on actual client outcomes but are not guarantees of your specific results.

All work is delivered in good faith and to the standard of a competent professional. If a system does not function as documented at delivery, we will correct it at no charge within the post-launch support window specified in your engagement agreement.

8. Limitation of Liability

Vyrabyte's total liability for any claim arising from services provided shall not exceed the total fees paid by you for the specific service at issue. We are not liable for indirect, incidental, or consequential damages, including but not limited to lost revenue, lost data, or business interruption, regardless of how caused.

9. Website Use

You may use vyrabyte.com for lawful purposes. You may not scrape, copy, or reproduce site content for commercial purposes without written permission. Content on this site is provided for informational purposes and does not constitute professional legal, financial, or tax advice.

10. Governing Law

These terms are governed by the laws of the State of Florida. Any disputes shall be resolved in Hillsborough County, Florida. Both parties agree to attempt good-faith resolution before initiating formal proceedings.

11. Changes to These Terms

We may update these terms as our services evolve. The "last updated" date at the top reflects the most recent revision. Continued use of the site or services after a change constitutes acceptance of the updated terms.
